Terms of Use: Business Valuation Tool

Summary (not a substitute for the Terms below): the Tool is a free marketing tool that produces an automated, indicative estimate from information you type in. It is not an appraisal or a professional business valuation, not an opinion of what any business is worth or would sell for, and not an offer or advice. Do not rely on it. Axia gives no warranty for it and limits its liability to the extent the law allows.

These Terms of Use (“Terms”) govern your use of the free Business Valuation Tool (the “Tool”) made available by Axia Growth LLC (“Axia,” “we,” “us,” or “our”) at axiagrowth.com. By using the Tool, you (“you” or “User”) agree to be bound by these Terms. These Terms supplement, and do not replace, our general Terms of Service. If you have separately engaged Axia as a client, that engagement is governed by your signed agreement with Axia, not by these Terms. If you have not separately engaged Axia as a client, these Terms, together with our Privacy Policy, are the only agreement between you and Axia regarding the Tool.

1. What the Tool Is

The Tool is a free marketing tool. It generates an automated, indicative estimate of a range of values for a business (an “Estimate”) by applying fixed formulas to (a) information you type in, such as state, industry, revenue, seller's discretionary earnings, growth trend and property ownership, and (b) aggregated reference data, including comparable-transaction data, industry multiples and public economic data, that Axia maintains, licenses or obtains from third parties. Axia offers the Tool to introduce business owners to Axia and its services. No person at Axia reviews your inputs or your Estimate before it is shown to you.

2. Indicative Estimate Only: What the Estimate Is Not

Every Estimate is an indicative figure for general informational and marketing purposes only. It is not, and must not be treated or described as:

  • an appraisal, or a certified, qualified or credentialed business valuation, and it is not prepared in accordance with any professional valuation standard, including the Uniform Standards of Professional Appraisal Practice (USPAP), the NACVA professional standards, or the AICPA Statement on Standards for Valuation Services (VS Section 100);
  • an opinion, conclusion or calculation of value, a statement of fair market value, investment value or any other standard of value, or a statement of what any business is worth;
  • a broker's opinion of value, a broker price opinion, a recommended listing or asking price, or a prediction of the price at which any business would sell;
  • a fairness opinion or a solvency opinion;
  • an offer, invitation or solicitation by Axia or anyone else to buy, sell or finance any business, asset or security, or a commitment to introduce you to any buyer; or
  • financial, investment, tax, accounting, legal or other professional advice, or a recommendation to take or not take any action.

An Estimate may not be used for lending, financing, tax reporting, financial reporting, estate or gift planning, litigation, divorce, buy-sell or shareholder agreements, insurance, regulatory filings, or any other purpose for which a professional valuation would ordinarily be required.

3. Basis and Limitations of the Estimate

Each Estimate is produced automatically and is based solely on (a) the information you provide, which Axia does not verify, audit or review, and (b) aggregated third-party and public market data, which may be incomplete, inaccurate, outdated, drawn from transactions of different sizes, structures, industries, locations or time periods, or otherwise not representative of your business or your market. The Tool does not perform any due diligence and does not consider, among other things: the quality of earnings or the accuracy of financial statements; legal, tax, regulatory, environmental or litigation matters; contracts, leases, licenses or permits; customer, supplier or employee concentration or dependence on the owner; working capital, debt, liabilities or the condition of assets; or current market, interest-rate and credit conditions.

The price, if any, at which a business actually sells depends on many factors the Tool cannot see, including diligence findings, the deal structure (for example, cash at closing, earn-outs, seller financing, or asset versus equity sale), the particular buyer, the availability and terms of financing, taxes, fees and timing. An actual sale price, or the absence of any buyer, may differ materially from any Estimate.

4. No Reliance

You agree that you will not rely on any Estimate in making any decision, including whether, when or at what price to sell, buy, finance, value or invest in any business. Before making any such decision, you should engage your own qualified, independent advisors, such as a credentialed business appraiser, accountant, attorney and, where appropriate, a licensed M&A advisor. Using the Tool does not create any client, broker, agency, advisory, fiduciary or other special relationship between you and Axia. Axia's regulatory status, including its reliance where applicable on the M&A broker exemption in Section 15(b)(13) of the Securities Exchange Act of 1934, is described in the disclosure at the foot of every page of axiagrowth.com; nothing in the Tool changes it.

5. Acknowledgment Before Results

Before the Tool shows an Estimate, you must tick a box confirming the following statement:

“I understand this is an automated, indicative estimate for informational and marketing purposes only, not an appraisal or an opinion of what my business is worth or would sell for, and I agree to the Valuation Tool Terms.”

Axia records that you ticked the box, when you did so, and the version of these Terms shown above, together with your submission. Anyone who opens a shared result link must likewise confirm that the Estimate is indicative only before it is displayed.

6. No Warranty

The Tool and every Estimate are provided “as is” and “as available,” with all faults and without warranties of any kind, express, implied or statutory, including warranties of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title and non-infringement, all of which Axia disclaims to the fullest extent permitted by law. Axia does not warrant that the Tool will be uninterrupted, secure or error-free, that any data it uses is correct, or that any Estimate will approximate any actual sale price or value.

7. Limitation of Liability

To the maximum extent permitted by law, Axia and its members, managers, officers, employees, contractors and data providers will not be liable for any decision made or action taken or not taken in reliance on the Tool or any Estimate, or for any indirect, incidental, consequential, special, exemplary or punitive damages, or any loss of profits, revenue, business, opportunity, goodwill or sale proceeds, arising out of or relating to the Tool, however caused and under any theory of liability, even if advised of the possibility of such damages. Because the Tool is provided free of charge, Axia's total aggregate liability arising out of or relating to the Tool is limited to one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, in which case these limitations apply to the fullest extent permitted.

8. Indemnity

You agree to indemnify and hold harmless Axia and the persons listed in Section 7 from any claim by a third party arising out of your use of the Tool, the information you submit, or your use or disclosure of any Estimate, including any representation you make to a third party about the value of a business based on an Estimate.

9. Your Responsibilities

You are responsible for the accuracy of the information you submit to the Tool, and for having the authority to share any business information you provide (including information about a business you do not own outright, such as one you co-own or manage). Do not submit information about a business, or an individual, if you do not have the right to do so.

10. Acceptable Use

You agree not to: scrape, crawl, or systematically extract data from the Tool; submit automated or bulk requests; attempt to probe, reverse-engineer, or circumvent rate limits, bot detection, or other technical protections; or use the Tool to build a competing valuation product. Axia may rate-limit, block, or revoke access for any user or IP address it reasonably believes is abusing the Tool.

11. Shareable Result Links

After completing the Tool, you may receive a shareable link to your results. This link is not password-protected — anyone who has the exact link can view the result it points to. Do not share the link anywhere you would not want the underlying estimate and business details to be seen. Axia does not index these links for public search.

12. Follow-Up Contact

By submitting your contact information, you consent to be contacted by Axia about your results and about Axia's services, including a potential engagement to help sell your business, as described in our Privacy Policy.

13. Changes

Axia may update these Terms from time to time by posting a revised version at this URL with an updated “Last Updated” date. Continued use of the Tool after a change takes effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, consistent with our general Terms of Service.

15. Privacy

Your use of the Tool is also governed by our Privacy Policy, which describes what information the Tool collects and how it is used and shared.
