Axia Growth LLC provides deal origination services. We identify privately held companies that may fit a client's acquisition criteria, conduct initial outreach to their owners, and introduce interested parties. We do not value businesses, negotiate transaction terms, structure transactions, or participate in due diligence or closing.

Axia is not a broker-dealer registered with the SEC or FINRA, is not a registered investment adviser, and is not a bank or depository institution. Axia does not hold any state securities, business-broker, or real estate broker license. Where Axia receives compensation contingent on a completed transaction, it relies on the M&A broker exemption in Section 15(b)(13) of the Securities Exchange Act of 1934 (15 U.S.C. § 78o(b)(13)) and analogous state-law exemptions, where available. That exemption applies only to the transfer of ownership of an eligible privately held company to a buyer that, upon closing, will control the company and, directly or indirectly, will be active in the management of the company, for example by electing executive officers, approving the annual budget, or serving as an executive manager.

Axia does not hold or take possession of funds or securities, provide transaction financing, bind any party to a transaction, form or represent groups of buyers, or participate in public offerings. Axia will not receive transaction-based compensation for a transaction involving a passive buyer, a group of passive buyers, or a shell company (other than a company formed solely to complete the transaction). If a prospective transaction would not qualify for the exemption, Axia will not receive transaction-based compensation for it except as permitted by applicable law, which may include compensation paid to or through a properly registered broker-dealer or other appropriately licensed intermediary.

Axia does not provide, arrange, or receive compensation for financing in connection with any transaction for which it receives M&A-related compensation.

Axia is typically engaged and compensated by the prospective buyer. Axia does not represent sellers, and nothing in Axia's outreach to a business owner should be understood as an offer by Axia to represent, value, or negotiate on behalf of that owner. If Axia is ever compensated by more than one party to a transaction, it will disclose that in writing and obtain consent from each party before accepting the additional compensation.

Axia's activities, and the compensation it may lawfully receive, are also subject to the securities, business-broker, and real estate licensing laws of the states in which Axia or its clients operate, which vary by state and may further limit the services or compensation available in a particular transaction.
